Terms of Service

1. Acceptance & Changes to Terms

By installing and using the Scale Safe application ("the App"), provided by Agnimithra S Agasthya doing business as Scale Safe ("we," "us," or "our"), you agree to be bound by these Terms of Service. We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or an in-app notice. Your continued use of the App following such modifications constitutes your acceptance of the updated Terms. If you do not agree, you must immediately uninstall the App.

2. Description of Service & No Professional Advice

Scale Safe provides mathematical projections, inventory tracking, and unit economic analysis based on data synchronized from your Shopify store.

No Professional Advice: We are not financial advisors, accountants, or business consultants. The metrics provided are for informational and educational purposes only. You acknowledge that any decisions you make based on the App's outputs are made at your own risk. We are not responsible for any business outcomes, including but not limited to financial losses, operational disruptions, or strategic decisions made using the App.
Beta Features: Some features (like the "What-If Simulator") may be classified as experimental or "beta" and may produce incomplete or inaccurate results.
Data Dependency: The App generates outputs, projections, and analyses based solely on data provided, synced, or input by you (including data from your Shopify store). We do not independently verify the accuracy, completeness, or reliability of this data.
Output Limitations: Any insights, forecasts, recommendations, or projections generated by the App are inherently dependent on the quality and accuracy of the underlying data and assumptions. Such outputs may be incomplete, inaccurate, or unsuitable for your specific business context.
Internal Use & Third-Party Reliance: The data, dashboards, and projections generated by the App are strictly for your internal operational use. You explicitly agree not to present, package, or distribute the App's outputs to third parties (including but not limited to investors, lenders, acquirers, or auditors) as certified financial statements or guaranteed performance metrics. We assume zero liability for any damages, claims, or legal actions arising from a third party relying on data generated by the App.
User Responsibility: You retain full responsibility for all decisions, actions, and outcomes related to your business, including those made based on the App's outputs.

3. User Responsibilities & Acceptable Use

As a condition of your use of the App, you agree not to misuse the service. You explicitly agree that you will not:

Reverse engineer, decompile, or scrape the App or its underlying engine.
Use the App for any illegal, fraudulent, or unauthorized purpose.
Input intentionally malicious or false data that could disrupt our systems.
Alter, manipulate, or misrepresent the App's outputs or dashboards to deceive third parties, secure funding, or inflate business valuation.

4. Shopify Platform Dependency

The App relies directly on the Shopify API to function. Your use of Shopify data is subject to Shopify's API Terms and policies. We are not responsible or liable for any service interruptions, data inaccuracies, or downtime caused by Shopify, API rate limits, or changes to the Shopify ecosystem.

5. Subscriptions, Billing & Termination

The App is billed on a recurring monthly subscription via the official Shopify Billing API. Billing cycles and refunds are governed entirely by Shopify's App Store policies.

Termination: You may cancel your subscription at any time by uninstalling the App. We reserve the right to suspend or terminate your access to the App immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

6. Disclaimer of Warranties ("AS IS")

The App and all associated services are provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee future sales, profits, advertising performance, inventory availability, or any specific business results, including but not limited to revenue growth, profitability, advertising efficiency, or operational outcomes. We do not guarantee that the App will be uninterrupted, error-free, secure, or continuously available.

7. Limitation of Liability

Under no circumstances shall Agnimithra S Agasthya doing business as Scale Safe be held liable for any direct, indirect, incidental, special, or consequential damages (including loss of profits, ROAS drops, or stockouts) resulting from the use or inability to use the App. In no event shall our total aggregate liability to you for all claims arising out of or relating to these terms exceed the total amounts paid by you to us for the App in the twelve (12) months preceding the event giving rise to the claim. This limitation includes, without limitation, any losses resulting from reliance on projections, forecasts, or analytics generated by the App.

8. Indemnification & Force Majeure

Indemnification: You agree to indemnify, defend, and hold harmless Agnimithra S Agasthya doing business as Scale Safe from any claims, damages, or legal expenses arising out of your use of the App, your business decisions, or your violation of these Terms.
Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, cloud hosting outages, or government mandates.

9. Intellectual Property

All rights, title, and interest in and to the App, including all software, algorithms, features, and content, are and will remain the exclusive property of Agnimithra S Agasthya doing business as Scale Safe. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the App solely in accordance with these Terms.

10. Governing Law & Contact

These Terms shall be governed by the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka. For support, contact: support@scalesafe.in.
